Dutch Structure

In The Netherlands 3 organizational structures exist pursuant to Book 2 of the Dutch Civil Code and the Management and Supervision Act:

  1. A Board of Directors (in Dutch: “Raad van Bestuur”) and a Supervisory Board (in Dutch: “Raad van Commissarissen”).
  2. A Board of Directors (in Dutch: “Raad van Bestuur”) only.
  3. A “hybrid” Board of Directors (in Dutch: “Hybride (one-tier) Raad van Bestuur”) only.
