Peruvian General Corporations Law contemplates different types of corporations (in Spanish: "Sociedades Anónimas") being either regular ones (in Spanish: “Sociedad Anónima – S.A.”), Closely Held Corporations (in Spanish: “Sociedad Anónima Cerrada – S.A.C.”) and Publicly Held Corporations (In Spanish: “Sociedad Anónima Abierta – S.A.A.”). The Corporations may have one of the following organizational structures:
- A Board of Directors (in Spanish "Directorio") and a Management (in Spanish: "Gerencia").
- A Management only (only possible in Closely Held Corporations).
Limited Liability Companies
Pursuant to the Peruvian General Corporations Law, Limited Liability Companies (in Spanish: "Sociedades de Responsabilidad Limitada /S.R.L.") have the following organizational structure:
- A Management only.
