In Belarus 2 organizational structures exist pursuant to the Belarusian Civil Code & Companies Act:
- A Board of Directors (in Russian: “Совет Директоров” or “Наблюдательный совет”) and an Executive Board and/or a Sole Director (in Russian: “Правление, Дирекция Директор”).
- An Executive Board and/or a Sole Director only (most common structure).
The first organizational structure is not possible to have in a Unitary Enterprise. Both organizational structures are available to Limited Liability Companies, Companies With Additional Liability and Joint Stock Companies, but only mandatory to Joint Stock Companies with more than 50 Shareholders.
